Terms of Use

These Terms of Use ("Terms") govern your use of the VibeNote mobile application (the "App") and any associated services. By downloading, installing or using the App you agree to these Terms. If you don't agree, please don't use the App. VibeNote is operated by ServePoint / DigiForce Business.

1. The App

VibeNote is a productivity app for students and researchers. It records audio on your device, transcribes it locally using an on-device Whisper model, and offers optional cloud-powered features behind a Premium subscription, including higher-accuracy cloud transcription, editorial AI summaries, AI Chat across your notes, translation to 120+ languages, flashcards, quizzes, speaker labels, and cross-device sync.

2. Eligibility

You must be at least 13 years old to use VibeNote (16 in the European Economic Area). By using the App you confirm that you meet the age requirement and have full legal capacity to enter into these Terms.

3. Acceptable Use & Recording Consent

You agree to use the App lawfully and responsibly. In particular:

• Recording consent. Many jurisdictions require consent from one or all parties before recording a conversation, phone call, lecture, or meeting. You are solely responsible for understanding and complying with the recording laws of your jurisdiction. We provide no legal advice and accept no liability for unlawful recordings made with the App.
• No infringing content. Don't record content that is illegal, defamatory, harassing, or that infringes another party's privacy, copyright, or intellectual property rights.
• No reverse engineering. Don't reverse-engineer, decompile, or attempt to extract source code or model weights from the App, except as required by applicable law.
• No competing models. Don't use the App, its transcripts, or any AI output to build, train, or evaluate a competing speech-to-text, summary, or chat product.
• No abuse. Don't submit malicious code, attempt to overload the cloud transcription or AI Chat pipeline, or bypass usage caps and entitlement checks.

4. Free Plan

• The on-device recording, transcription, summary, custom vocabulary, flashcard generation (from transcripts) and translation features that don't require the cloud are free forever.
• Free accounts include 30 AI Chat messages per calendar month, enforced server-side. The counter resets on the 1st of each month.
• We may change free-tier limits with reasonable notice if costs or abuse patterns force us to.

5. Premium Subscription

• Premium is sold as an auto-renewing subscription via Apple's App Store (iOS) or Google Play Store (Android).
• Payment is charged to your store account at confirmation of purchase and at the start of each renewal period.
• Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your store account settings or via VibeNote → Settings → My subscription.
• Premium includes a fair-use cap of approximately 20 hours of cloud-enhanced transcription per month. After the cap, recordings continue to work on-device with the free Whisper transcriber.
• Premium AI Chat is unlimited.
• Refunds are handled by Apple or Google per their respective refund policies. We do not directly process refunds for store- billed subscriptions.

6. Your Content

You retain full ownership of the audio, transcripts, summaries, flashcards, quizzes, and notes you create with the App. By using the cloud features, you grant us a limited, non-exclusive licence to process your content solely for the purpose of providing those features to you (transcription, summary, AI Chat, translation, speaker labels, sync). We do not use your content to train any machine-learning models, and we don't share it with anyone except the sub-processors disclosed in our Privacy Policy.

7. AI Content Disclaimer

Transcripts, summaries, translations, AI Chat answers, flashcards, and quizzes are generated by automated speech recognition and large language models. They can be inaccurate, incomplete, or occasionally invent facts ("hallucinate"). Do not rely on AI-generated output for legal, medical, financial, academic, or safety-critical decisions without independent verification. If you submit AI-generated work for academic credit you are responsible for compliance with your institution's integrity policy.

8. Account Termination & Deletion

You may stop using VibeNote at any time. To permanently delete your account and all server-side data, open Settings → Delete my account inside the App. This wipes your sign-in, synced notes, uploaded audio, and chat counters from our servers. Notes that only ever lived on your phone stay there until you uninstall.

We may suspend or terminate your access to the cloud features if you materially breach these Terms, attempt to abuse the service, or fail to pay. We will give reasonable notice where possible.

9. Third-Party Services

VibeNote integrates with Firebase (Google), OpenAI, Deepgram, RevenueCat, Recall.ai, Google Calendar, and Microsoft Graph. Your use of those integrations is also subject to the relevant third party's terms. We are not responsible for third-party outages, pricing changes, or policy changes that affect those integrations.

10. Intellectual Property

The App, its source code, brand, design, and AI prompts are owned by us and protected by intellectual-property laws. Nothing in these Terms grants you a licence to our trademarks or to the App beyond the right to use it as intended.

11. Disclaimer of Warranties

The App is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, secure, or error-free, or that transcripts and summaries will be accurate, complete, or fit for a particular purpose.

12. Limitation of Liability

To the fullest extent permitted by law, VibeNote, its operators, affiliates, and licensors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, loss of revenue, or loss of opportunity, arising from your use of the App. Our aggregate liability for any claim arising under or in connection with these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 50.

13. Indemnification

You agree to indemnify and hold us harmless from any third-party claim, demand, or liability (including reasonable legal fees) arising out of your unlawful recording, your violation of these Terms, your infringement of any third-party right, or your misuse of the App's output.

14. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms here with a new "Last updated" date and, for material changes, notify you in-app or by email. Continued use of the App after a change becomes effective constitutes acceptance of the updated Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which the App operator is established (Morocco), without regard to conflict-of-law principles. To the extent permitted by law, any dispute will be resolved in the competent courts of that jurisdiction. If you are a consumer in the European Union or the United Kingdom, you retain the rights afforded by your local consumer-protection law and the courts of your country of residence.

16. Apple App Store Additional Terms (iOS only)

The following applies if you obtained VibeNote from Apple's App Store:

• These Terms are between you and us only, not with Apple. Apple is not responsible for the App or its content.
• Apple has no obligation to provide any maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple, who will refund the purchase price (if any). Apple has no further warranty obligation.
• Apple is not responsible for addressing any product-liability, legal, or intellectual-property claims relating to the App.
• Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
